Investor-ready financial reporting: what to prepare before a funding round

The reporting pack investors expect, the ratios they check first, and the data gaps that stall diligence.

What investors open first

Before the deck, a serious investor looks for three things: a clean trial balance, a cash flow that reconciles to bank, and a set of ratios that are traceable to the ledger. Everything else is commentary.

The minimum pack

  1. Profit and loss by month for at least 12 months.
  2. Balance sheet at the latest period end, with reconciled bank, receivables and payables.
  3. Cash flow, ideally direct, with a bridge from profit to cash.
  4. Ratio summary: margins, ROCE, gearing, interest cover, asset turnover.
  5. Share data: shares outstanding, option pool, any dividends declared.
  6. A forecast with stated assumptions and a backtest of the previous forecast.

The questions that stall diligence

  • Why does revenue in the deck differ from revenue in the ledger?
  • Which costs are direct and which are overhead, and has that mapping changed?
  • What sits in the suspense or uncategorised account?
  • Who can post a manual journal, and how many were posted near year end?
  • What is the diluted share count once options are exercised?

Say what you cannot calculate

The fastest way to lose credibility is to publish a ratio that the underlying data cannot support. If no balance sheet exists, ROCE is not zero, it is unavailable. Naming the gap is a sign of control; filling it with an estimate is a red flag.

Preparation timeline

Start three months out. Month one: clean the ledger and reconcile. Month two: close properly, lock periods, document policies. Month three: build the pack, run the ratios, and have someone outside finance try to break the numbers.
